The Coleman Street Ward is founded on a non-political basis and is for the association of Members with a view to watch and protect the interests of the Ward and to promote neighbourly and social intercourse, particularly in matters of local interest and appertaining to the rights and privileges of the City of London, but excluding those of a religious or political nature.\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e2. MEMBERSHIP AND QUALIFICATIONS\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e2.1. All candidates for admission to Membership of the Club shall be persons who, at the date of their application, be either\u003c/p\u003e\n\u003cp\u003e2.1.1. On the Ward list of municipal or parliamentary Voters for the City of London and Westminster in respect of an address within the Ward or\u003c/p\u003e\n\u003cp\u003e2.1.2. Shall be interested in or represent a Company, Society or Business within the Ward or\u003c/p\u003e\n\u003cp\u003e2.1.3. Exercise a Profession or be engaged in Business within the Ward or\u003c/p\u003e\n\u003cp\u003e2.1.4. Be a Spouse/Partner or Child of a Member or\u003c/p\u003e\n\u003cp\u003e2.1.5. Be able to satisfy the Election Committee that they have the interests of the Ward at heart\u003c/p\u003e\n\u003cp\u003e2.1.6. No member shall be disqualified from retaining their Membership by ceasing to be on the said Ward list or by reason of their subsequently leaving the Ward\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e3. CHAPLAIN\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e3.1. An Honorary Chaplain shall be elected annually.\u003cbr\u003e\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e4. Committee\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e4.1. The affairs of the Club shall be managed by a Committee elected from Members of the Club composed as follows: -\u003c/p\u003e\n\u003cp\u003e4.1.1. President being the Alderman of the Ward (if they be willing so to serve) or failing him the Deputy or otherwise the next senior Common Councillor.\u003c/p\u003e\n\u003cp\u003e4.1.2. Honorary Secretary (see job description annex A)\u003c/p\u003e\n\u003cp\u003e4.1.3. Honorary Treasurer (see job description annex B)\u003c/p\u003e\n\u003cp\u003e4.1.4. Membership Secretary (see job description annex C)\u003c/p\u003e\n\u003cp\u003e4.1.5. Webmaster (see job description annex D)\u003c/p\u003e\n\u003cp\u003e4.1.6. each of whom must in the first place be elected at a General Meeting, their reappointment to be confirmed at each subsequent Annual General Meeting (AGM).\u003c/p\u003e\n\u003cp\u003e4.2. In addition, a Chairman and a Vice-Chairman and not less than four nor more than ten other Members and all Members who are representatives of the Ward on the Court of Common Council, to be co-opted annually be the elected Committee.\u003c/p\u003e\n\u003cp\u003e4.3. The Committee shall have power to fill any vacancy by co-opting any five Committee Members assembled to form a quorum as a Committee; any ten Members assembled to form a quorum at any General or special Meeting\u003cbr\u003e\u003c/p\u003e\n\u003cp\u003e4.4 In relation to 4.1.2 above the members may appoint two people as Joint Hon-Secretaries to carry out the role of Hon-Secretary, if they so wish and any references to Hon-Secretary in these Rules would similarly apply to the joint Hon-Secretaries. \u003c/p\u003e\n\u003cp\u003e4.5\tColeman Street Ward Club committee members are elected to the committee because they, first and foremost, enjoy club, livery, and City life, and this enjoyment is both evident and dedicated. A committee member understands that the events they attend and appreciate take many hands and much time to organise and feel ready to contribute to their organisation if called upon to do so. This means that committee members have time – and are willing to make time – for the club and that when this time is made, they consider it a priority. This is because, a committee member understands the importance of attending scheduled meetings; and is motivated by the prospect of potentially working towards rising to the Chair should it be their wont. And while there are no appraisals of committee members, their enthusiasm for the club is apparent to the committee as a whole and is integral in maintaining Coleman Street’s inclusive and jolly ethos.\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e5. ELECTION OF CHAIRMAN RETIRING COMMITTEE MEMBERS\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e5.1. The Committee shall have power to recommend to the AGM the names of two Members willing to serve until the Succeeding AGM respectively as Chairman and Vice-Chairman, but these and other nominations made duly in accordance with these Rules shall be voted on at the AGM.\u003c/p\u003e\n\u003cp\u003e5.2. The Chairman, at the end of their year of office, shall remain an ex\u0002officio Member of the Committee until the AGM next following their retirement and thereafter shall not be eligible for re-election to the Committee until the second AGM following their retirement.\u003c/p\u003e\n\u003cp\u003e5.3. At each AGM the two Senior Members of the Committee and any Committee Member co-opted since the previous AGM shall retire, but shall be eligible for re-election, seniority being reckoned from the date of initial election to the Committee or if re-elected from the date of re-election.\u003c/p\u003e\n\u003cp\u003e5.4. The year of election or re-election of every Member to the Committee as the case may be shall be stated on the printed list of members; the Honorary Secretary to notify Members of the Committee due for retirement in sufficient time before each AGM to enable them to seek reelection if desired.\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e6. ANNUAL GENERAL MEETING\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e6.1. The AGM shall be held within three months of the end (i.e. 31st December) of every financial year of the Club.\u003cbr\u003e\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e7. NOMINATIONS TO COMMITTEE\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e7.1. Nominations in writing for election to the Committee (together with written notification of willingness to act) shall be lodged with the Honorary Secretary in writing duly proposed and seconded at least twenty one days before the election Meeting and the name or names of those up for election shall be inserted in the notice convening the Meeting.\u003c/p\u003e\n\u003cp\u003e7.2\u0026nbsp;To be eligible for nomination to the committee a person must have been a member of the club for a minimum of two years and shown good attendance at events (particularly General Meetings and Civic Functions) over that period.\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e8. CHAIRMAN TO PRESIDE\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e8.1. All business and social Meetings of the Club shall be presided over by the Chairman, or in their absence by the Vice-Chairman.\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e9. SOCIAL FUNCTIONS\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e9.1. The Committee shall have power to arrange in each year for Members and their friends such Banquets, Luncheons, Social Meetings, and Debates or Discussions as may be considered desirable to further the interests of the Ward or otherwise (not being of a religious or political nature) and to fix the venues thereof and to decide upon the expenses to be incurred thereby and for the charges to be made to Members and their guests in respectthereof.\u003c/p\u003e\n\u003cp\u003e9.2. The Committee may at the expense of the Club invite distinguished guests or well known public persons to its Meetings. The Club will not be answerable for orders given other than by the Honorary Secretary.\u003c/p\u003e\n\u003cp\u003e9.3. Notifications of all such Meetings aforesaid shall be communicated by the Honorary Secretary to all Members in such form as shall call for all information necessary to ensure the success of any function and he shall at the discretion of the Committee issue appropriate invitation cards.\u003cbr\u003e\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e10. CLUB BADGES\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e10.1. The Chairman\u0027s badge shall be worn by the Chairman or Vice\u0002Chairman when presiding at asocial Meeting of the Club. The badge shall remain in the custody either of the Chairman during their term of office or of the Honorary Secretary, and the Honorary Secretary shall see that the badge is at all times fully insured at the expense of the Club.\u003c/p\u003e\n\u003cp\u003e10.2.Vice-Chairman’s Badge shall be worn by the Vice Chairman at functionwhen not acting as the Chairman.\u003c/p\u003e\n\u003cp\u003e10.3.The Honorary Secretary’s Badge shall be worn by the Honorary Secretary at functions.\u003c/p\u003e\n\u003cp\u003e10.4.Treasurer’s Badge shall be worn by the Honorary Treasurer at functions.\u003c/p\u003e\n\u003cp\u003e10.5.Past Chairmen may, if they wish, wear a past Chairman\u0027s badge at all socialfunctions of the Club, and on other appropriate occasions.\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e11. ENTRANCE FEE AND SUBSCRIPTION\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e11.1.The entrance fee for each Member on admission to the Club and the annual subscription shall be such amounts as shall be approved from time to time by a special or general Meeting of Members; New Members whose election is confirmed between the 1st October and 31st December, shall in respect of the first subscription be liable only for half the annual amount thereof.\u003c/p\u003e\n\u003cp\u003e11.2. Subscriptions to be due and payable to the Honorary Secretary on the first of January or in the case of New Members, within 14 days of notification of election. The Membership Secretary will report to the Honorary Secretary of all arrears of subscriptions.\u003cbr\u003e\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e12. SUBSCRIPTIONS IN ARREAR\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e12.1.In the event of any Member being not less than one year in arrear to the Club as regards their subscription and failing to reply to formal application for it, they shall cease to be a Member and their name shall be removed from the list kept and issued by the Honorary Secretary. Provided that a name so removed may be reinstated upon receipt by the Committee of a satisfactory explanation and payment of arrears decided to be due.\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e13. LIFE MEMBERS\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e13.1.The Committee shall have power with the approval of Members in General Meeting to create a class of Life Membership of the Club on such terms as the General Meeting shall consider reasonable.\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e14. Withdrawn\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e15. MEMBERSHIP ELECTION COMMITTEE - HONORARY \u003c/strong\u003e\u003cstrong\u003eMEMBERS\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e15.1. The power of electing Members shall be vested in the Committee. The names of all Candidates for Membership together with the names of their Proposers and Seconders, shall be sent to the Honorary Secretary who shall submit them to the Committee within 14 days after receipt. No Candidate shall be elected except by the unanimous decision of the Committee. If elected, the Candidate shall immediately be notified by the Honorary Secretary. A General Meeting of the Members shall have power to invite for election as Honorary Members, if they are willing so to be, persons of distinction in the Public Life or Service of the City of London\u003cbr\u003e\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e16. VOTING RIGHTS\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e16.1. Every Member, except Honorary and Non-Active Members, whose current subscription shall have been paid, shall be entitled to one vote at all Meetings of the Club, the presiding Chairman having the right of additional casting vote.\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e17. NOTICES OF MOTION\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e17.1.All Notices of Motion relating to the affairs or constitution of the Club shall be placed on the Summons (unless in the opinion of the Chairman the subject thereof is one of emergency of which notice could not previously have been given) and the Meeting shall be called for at such time as the Honorary Secretary may think necessary. In case any Member who has given Notice of Motion for discussion shall not be present at the time appointed it shall be competent for any other Member to take up and introduce the subject.\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e18. SPECIAL MEETINGS\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e18.1. The Honorary Secretary shall summon a Special Meeting of Members: -\u003c/p\u003e\n\u003cp\u003e18.1.1. upon a resolution of the Members; or\u003c/p\u003e\n\u003cp\u003e18.1.2. upon receiving of a requisition signed by not less than 6 Members and delivered at the office of the Honorary Secretary, such requisitions stating the object of such Meeting; or\u003c/p\u003e\n\u003cp\u003e18.1.3. upon any matter arising which in the opinion of the Chairman, the Honorary Secretary and the Honorary Treasurer for the time being, renders it advisable or necessary for such a Meeting to be convened.\u003cbr\u003e\u003c/p\u003e\n\u003cp\u003e18.2. At least 7 days notice of such Special Meeting shall be given unless under sub clause 18.1.3 of their Rule the Chairman, Honorary Secretary and Honorary Treasurer decide that the circumstances are such as to warrant a shorter notice being given.\u003c/p\u003e\n\u003cp\u003e18.3. On a vacancy arising in the municipal representation of the Ward, the Honorary Secretary shall with all convenient speed and without requisition convene a Special Meeting to discuss the position.\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e19. MINUTE BOOK\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e19.1. The Honorary Secretary shall summon all Meetings and shall enter all proceedings of the Club in a Minute Book kept for that purpose or save it as \u003c/p\u003e\n\u003cp\u003ea digital file, and shall at each Meeting read the proceedings of the previous Meeting, and the same (if approved) shall be signed by the Chairman of the \u003c/p\u003e\n\u003cp\u003eday. Except as otherwise provided in these rules not less than 7 days notice shall be given of all Meetings.\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e20. YEARLY LIST OF MEMBERS\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e20.1.1. The names and addresses of the Members shall be inserted by the Honorary Secretary in a record kept by them for that purpose with \u003c/p\u003e\n\u003cp\u003ethe year of their election prefixed to the name of each Member, and in the printed list of Members, the date of election of Committee Members and their telephone numbers shall be shown; this record can be kept digitally and shared between the Honorary Secretary and Membership Secretary\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e21. Audit\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e21.1. The Honorary Treasurer shall pay all accounts and once a year report the same. Their accounts shall be audited by not less than two Members appointed at the \u003c/p\u003e\n\u003cp\u003eAGM.\u003cbr\u003e\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e22. RETIREMENT OF MEMBERS\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e22.1. Any Member intending to withdraw from the Club shall signify their intention of doing so in writing to the Honorary secretary on or before the 1st January, or in default such Member shall remain liable for their subscription for the ensuing year, but the Committee shall have discretion in circumstances approved in Meeting to waive payment of a retiring Member’s subscription.\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e23. MEMBERS CONDUCT\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e23.1. If the conduct of any Member, either in or out of the Club shall, in the opinion of nine Members of the Club who shall certify the same in writing to the Honorary Secretary be injurious to its character or interests, the Committee shall call upon such Member for an explanation, and if the Committee so decide, a Special Meeting shall be summoned toconsider such Members conduct, and if in the opinion of two thirds of the Members present, the conduct of such a Member should be found to be injurious to the character or interests of the Club, the Committee shall recommend such Member to resign and if they shall not do so within 28 days from the date of such recommendation (during which timethe Club shall be closed to them) their name shall be erased from the list of Members and thereupon Notice of such erasure shall be sent to them forthwith by the Honorary Secretary and from that date they shall cease to be a Member of the Club and shall not afterwards be eligible for re\u0002election. The Honorary Secretary to notify Members of the Committee due for retirement in sufficient time before each Annual General Meeting to enable them to seek re-election if desired.\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e24. SUBSCRIPTIONS etc NOT RETURNABLE\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e24.1. No Member ceasing to belong to the Club by resignation or otherwise shall be entitled to have any part of their entrance fee or annual subscription returned to them\u003cbr\u003e\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e25. VARIATION OF RULES\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e25.1. No Rule of the Club shall be altered unless by a Notice of Motion to be given at least one month prior to the next Meeting except that when fresh Rules or amendments of existing Rules are advised by the Committee of the Club, particulars of the proposed fresh rules, alterations or amendments shall be given to the Members by the Honorary Secretary in the Notice convening the Meeting. Any question/s arising not provided for by these Rules shall be determined by a majority of the Members at the Meeting which such question/s may arise\u003c/p\u003e\n\u003cp\u003e\u003cstrong\u003e26. COPIES OF RULES\u003c/strong\u003e\u003c/p\u003e\n\u003cp\u003e26.1. Every Member shall be provided with a copy of these Rules.\u003c/p\u003e\n\u003cp\u003e\u003cem\u003eN.B.
